Our client is a corporate services provider looking to expand its Corporate Secretarial team in Singapore. Opportunities are available at both Junior Associate and Senior Associate levels, offering exposure to a portfolio of Singapore incorporated companies and a broad range of corporate secretarial, statutory and compliance matters.
For the Junior Associate position, fresh graduates with an interest in developing a career in Corporate Secretarial Services are welcome to apply. The Senior Associate position will suit experienced professionals who can independently manage a portfolio of clients.
Key Responsibilities
- Support or independently manage a portfolio of Singapore companies, depending on experience and seniority.
- Handle company incorporations and ongoing corporate actions, including changes in officers, share allotments/transfers, changes in share capital and striking-off applications.
- Prepare and/or review directors’ and shareholders’ resolutions, meeting minutes, statutory forms and other corporate documents.
- Maintain statutory registers, minute books and corporate records accurately and promptly.
- Prepare and submit statutory filings and e-Filings with ACRA, and attend to IRAS stamping matters where applicable.
- Support client onboarding, including KYC, CDD and collection/review of supporting documentation.
- Monitor statutory deadlines and ensure corporate actions and filings are completed on time.
- Liaise with clients, directors, shareholders, auditors, accountants and relevant parties on corporate secretarial matters.
- Support compliance with the Singapore Companies Act and other applicable requirements.
- At Senior Associate level, independently manage client requirements and provide guidance on routine corporate secretarial and statutory compliance matters.
- Support ad hoc corporate secretarial, compliance and advisory assignments as required.
Key Requirements
- Diploma or Degree in Corporate Administration, Business Administration, Law or a related discipline.
- ICSA/CGI qualification, currently pursuing the qualification, or an interest in pursuing it would be advantageous.
- Senior Associate: Relevant corporate secretarial experience, preferably within a corporate services or professional services environment, with the ability to independently manage a client portfolio.
- Junior Associate: Fresh graduates are welcome to apply; prior corporate secretarial experience would be advantageous.
- Knowledge of the Singapore Companies Act and ACRA requirements, appropriate to level of experience.
- Proficient in Microsoft Office; familiarity with corporate secretarial software and ACRA BizFile+ would be advantageous.
- Detail-oriented, organised and capable of managing deadlines accurately.
- Good written and verbal communication skills.
