An international fund services provider is looking for an experienced Legal Counsel to join its Singapore team, supporting its business across Asia Pacific.
This is a regional legal role sitting close to the fund services and alternative investment ecosystem. You will advise the business on commercial, legal and regulatory matters, negotiate agreements with fund clients and service providers, and review fund documentation across multiple APAC jurisdictions.
Key Responsibilities
- Draft, review and negotiate fund administration and other client service agreements, vendor contracts and commercial arrangements.
- Review fund formation and offering documentation, including offering memoranda, subscription documents and constitutive documents.
- Ensure disclosures relating to fund administration services are consistent with legal, regulatory, operational and risk requirements.
- Advise internal stakeholders on legal and regulatory matters affecting the fund services business across APAC.
- Monitor legislative and regulatory developments and assess their impact on the business.
- Advise local management on requirements applicable to fund administration and ancillary services.
- Support regulatory engagement across relevant APAC jurisdictions where required.
- Work closely with Compliance, AML, Risk and Internal Audit teams on regional matters.
- Liaise with and manage external counsel across Asia Pacific where appropriate.
- Develop relationships with relevant investment fund and asset management industry bodies and legal professionals.
- Support internal training and promote legal and regulatory awareness across the organisation.
Key Requirements
- Qualified lawyer with admission in a relevant Asia Pacific or recognised common-law jurisdiction, with current good standing.
- Minimum 5 years of relevant legal experience gained within a fund services provider, financial institution and/or corporate law firm.
- Good understanding of investment funds, fund structures and the broader asset management industry. Strong working knowledge of regulatory frameworks across key APAC markets.
- Experience reviewing and negotiating fund administration, financial services or other commercial agreements.
- Familiarity with structures such as Singapore VCCs, Hong Kong OFCs, China QDLP/QFLP structures and/or Australian Managed Investment Schemes would be valuable.
- Strong commercial judgement with the ability to provide practical legal advice to business stakeholders.
